THE 10 STEPS OF CREATING A SAS / SASU

The creation of an SAS (Simplified Joint Stock Company) or a SASU (Single Company Simplified) is relatively complex because of the many different sources of information available on the web. For your convenience, here are clearly the 10 steps to create your SAS or SASU and create a so start your new business.

2. List of subscribers

The CFE (Business Formalities Centre) will ask for a list of subscribers with an indication of the number of units and the amounts paid to each partner.

3. Deposit of capital to the bank

Choose a bank to take out a professional bank account. You can negotiate your fees and play the competition.
Once the bank has been defined, present your project and if accepted (there may be refusals), the bank will ask you for a draft of the statutes. She will then sign you the necessary documents and you will deposit a check per partner, representing the share of the capital.
Once the check (s) have been cashed, your bank will send you a certificate of deposit of the funds that will be useful during your process at the CFE.
To know that the money will be blocked as your K-BIS will not release to the bank.

4. Publication of a legal announcement

You must publish a legal advertisement in an approved newspaper. It is an obligation without any interest.
To find a journal that can do this, search for "legal ad" on Google.
You are charged per line written, so minimize them to the strictly necessary!
A certificate will then be sent to you. It will be useful during your process at the CFE.
Attention publication date must be equal or superior to that on the certificate of deposit of the bank's funds, subject to rejection by the CFE.

5. Direct debit

You must have a receipt for the future head office of your company, whether at home, in offices or for a commercial lease.

6. Registration of Articles of Incorporation

Depending on the registry of your municipality, registration at the tax office can be compulsory before sending the file to the CCI. Call your ICC to find out.
If required, you must have your statutes registered with taxes before filing with the CCI.
In all cases, your statutes must be registered by the tax center. Fees may be charged for this registration, depending on the tax center.

7. Filing of the creation file with the CFE

Visit the CFE website to fill out a form M0, creation of SAS. To do this, you must create an account and click on the process of creating a new company.
Once you have filled out the form, you must print it and submit it to your CCI.
The form should include:
  • 1 original of the articles of association of the company, initialed and signed
  • 1 act of appointment of officers, if not specified in the statutes
  • 1 certificate of deposit of funds
  • 1 original report of the Commissioner of inputs if contribution in kind
  • 1 list of subscribers in the event of a contribution in cash
  • 1 certificate of publication of the legal announcement
  • 1 declaration of non-conviction for the President
  • 1 double-sided copy of each partner's identity card
  • 1 proof of domiciliation of the registered office
A check corresponding to the registration fee must be submitted at the same time. The amount varies according to the registry (to be contacted or to see on the website of the registry attached to your commune).

8. Receiving your K-BIS

If your file is complete, the Registry will communicate your KBIS in about 15 days.
In case of error, the Registry will indicate what needs to be corrected.

9. Go to the bank

Once your KBIS is received, you can tell your bank to have your bank account unblocked.
